8. Meta Platforms and WhatsApp Business Integrations

Some DM Fast Solutions services integrate with Meta Platforms technologies, including Facebook, Instagram, Messenger, and WhatsApp Business Platform.

By connecting your Meta accounts, you authorize DM Fast Solutions to access only the information necessary to provide the requested services and only to the extent permitted by Meta and authorized by you.

12. Payments and Billing

Unless otherwise agreed in writing:

  • All prices are quoted in United States Dollars (USD).
  • Payments must be made according to the agreed payment schedule.
  • Late payments may result in suspension of services.
  • Outstanding balances may accrue interest where permitted by applicable law.
  • The client is responsible for any applicable taxes unless otherwise stated.

Failure to make timely payments may result in delayed project delivery, suspension of cloud services, temporary account deactivation, or permanent termination of services.

13. Subscription Services

Certain products may be offered as monthly, annual, or recurring subscription services.

Unless otherwise specified:

  • Subscriptions automatically renew.
  • You may cancel future renewals at any time before the next billing cycle.
  • Cancellation does not automatically generate refunds for previous billing periods.
  • Access to subscription services may end upon expiration or cancellation.

We reserve the right to modify subscription pricing with reasonable advance notice. Pricing changes will not affect the current billing period already paid.

14. Refund Policy

Due to the nature of digital products, consulting services, software development, custom programming, marketing services, automation implementations, and cloud-based solutions, payments are generally non-refundable once work has commenced.

Refund requests may be evaluated on a case-by-case basis at the sole discretion of DM Fast Solutions.

No refunds will be issued for:

  • Completed consulting sessions.
  • Completed software development work.
  • Completed website design.
  • Advertising management services already performed.
  • SEO work already delivered.
  • Monthly subscriptions already consumed.
  • Custom integrations already completed.

15. Intellectual Property

Unless otherwise agreed in writing, all software, source code, documentation, graphics, branding, user interfaces, workflows, templates, automation systems, artificial intelligence prompts, reports, website designs, databases, APIs, algorithms, and other materials developed by DM Fast Solutions remain the intellectual property of DM Fast Solutions.

Clients receive only the license or ownership rights expressly stated in their proposal, invoice, contract, or Statement of Work.

Nothing contained in these Terms transfers ownership of our intellectual property to the client.

You may not:

  • Copy our software.
  • Redistribute our software.
  • Resell our services without authorization.
  • Reverse engineer proprietary systems.
  • Remove copyright notices.
  • Create derivative works based on our proprietary technology.

16. Client Content

The client retains ownership of all logos, trademarks, documents, images, videos, customer databases, marketing materials, and other content provided to DM Fast Solutions.

By providing such materials, the client represents that they possess all necessary rights and permissions to use and authorize DM Fast Solutions to process such content for the purpose of delivering the requested services.

The client agrees to indemnify and hold harmless DM Fast Solutions against any claims arising from unauthorized or unlawful use of third-party materials supplied by the client.

17. Confidentiality

Both parties agree to protect confidential information exchanged during the course of the business relationship.

Confidential information may include:

  • Business strategies
  • Pricing information
  • Source code
  • Customer lists
  • Marketing plans
  • Technical documentation
  • Credentials
  • API keys
  • Access tokens
  • Financial information
  • Trade secrets

Neither party shall disclose confidential information to third parties except:

  • When necessary to provide contracted services.

18. Security

DM Fast Solutions implements commercially reasonable administrative, technical, and organizational safeguards to protect customer information.

19. Data Ownership

Unless otherwise specified in a separate written agreement, clients retain ownership of the business data they provide while using our services.

DM Fast Solutions does not claim ownership of client data, including but not limited to customer information, contacts, messages, uploaded documents, media files, reports, or business records.

We may access, process, and store such data solely for the purpose of providing, maintaining, securing, improving, and supporting the services requested by the client.

Clients are responsible for ensuring they have the necessary legal rights and permissions to collect, process, and share any data submitted through our services.

20. Data Backup

Although DM Fast Solutions may perform routine backups of certain systems, clients remain responsible for maintaining independent backups of their critical business information unless backup services are expressly included in a service agreement.

We cannot guarantee that backups will always be available, complete, or recoverable in every circumstance.

21. Service Availability and Maintenance

We strive to maintain reliable and uninterrupted services. However, maintenance, software updates, security improvements, infrastructure upgrades, or circumstances beyond our reasonable control may occasionally require temporary interruptions.

Whenever reasonably possible, scheduled maintenance will be performed during periods intended to minimize disruption.

DM Fast Solutions shall not be liable for temporary downtime caused by:

We do not guarantee that our services will always be free of defects, vulnerabilities, delays, or interruptions.

24. Limitation of Liability

To the maximum extent permitted by applicable law, DM Fast Solutions shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages arising from or related to the use of our services.

This limitation includes, without limitation:

Our total aggregate liability shall not exceed the total amount paid by the client to DM Fast Solutions for the specific service giving rise to the claim during the twelve (12) months immediately preceding the event.

25. Indemnification

You agree to defend, indemnify, and hold harmless DM Fast Solutions, its owners, employees, contractors, affiliates, partners, and service providers from any claims, damages, liabilities, losses, expenses, or legal fees arising from:

  • Your misuse of our services.
  • Your violation of these Terms.
  • Your violation of applicable laws.
  • Your infringement of intellectual property rights.
  • Your unauthorized use of third-party content.
  • Your misuse of third-party APIs or integrations.

26. Suspension and Termination

DM Fast Solutions reserves the right to suspend, restrict, or permanently terminate access to any service, platform, website, application, or account at our sole discretion if we reasonably determine that a user has violated these Terms, applicable laws, or the policies of any integrated third-party provider.

Termination of services does not relieve the client of any outstanding payment obligations incurred before termination.

27. Compliance with Third-Party Policies

Some of our services rely on APIs, cloud platforms, advertising networks, messaging platforms, artificial intelligence providers, and software developed by third parties.

By using these integrations, you acknowledge that your use is also governed by the applicable policies and agreements of those providers.

Clients are responsible for complying with all applicable requirements established by platforms including, but not limited to:

DM Fast Solutions cannot guarantee continued access to any third-party service if those providers modify their APIs, pricing, technical requirements, or acceptable use policies.

28. Export Control and Sanctions

You agree not to use our services in violation of any applicable export control laws, trade sanctions, or international regulations.

You represent that you are not located in, organized under the laws of, or ordinarily resident in any jurisdiction subject to comprehensive trade restrictions applicable to our services.

29. Governing Law

These Terms shall be governed by and interpreted in accordance with the applicable laws governing the operations of DM Fast Solutions, without regard to conflict of law principles.

Any dispute arising from these Terms shall first be addressed through good-faith negotiations between the parties.

If a dispute cannot be resolved informally, the parties agree that the appropriate courts with competent jurisdiction shall have exclusive authority to resolve the matter, unless otherwise required by applicable law.

30. Severability

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect.

34. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, Data Deletion Instructions, applicable service agreements, proposals, invoices, subscription plans, and Statements of Work (if any), constitute the complete agreement between you and DM Fast Solutions regarding the use of our services.

They supersede all prior communications, discussions, proposals, or agreements relating to the same subject matter, whether oral or written.
